The fair print

The agreement that governs your use of ProdSys. We have tried to keep it in plain language — but it is still a legal document, and the formal version takes precedence in case of conflict.

By using ProdSys, you agree to these terms. If you are accepting on behalf of a company, you represent that you have authority to bind that company. The formal Master Service Agreement (MSA) signed at contract start takes precedence over this summary.

1. The parties

"ProdSys", "we", "us": PSIT Software AS, a Norwegian company registered at Ingvald Ystgaards veg 1, 7047 Trondheim, Norway. Organization number: 921 238 789. "ProdSys" is the product name; PSIT Software AS is the legal entity.

"Customer", "you": The company or organization that has signed up for ProdSys, or an individual end-user authorized by that company.

2. The service

ProdSys provides a cloud-based ERP platform with modules for finance, sales, procurement, inventory, logistics, production, projects, time tracking, and reporting.

The service is delivered as software-as-a-service. We host, maintain, and update the platform — you do not need to install or manage anything beyond your user devices.

The current scope of features is described at prodsys.com/product. New features are added continuously and included at no extra cost.

3. Your account & users

User licenses are personal
Each user license is assigned to a named individual. The same license can be used on multiple devices (mobile, tablet, PC, Mac, Linux), but cannot be shared between people.
You are responsible for account security
You must keep credentials confidential, choose strong passwords, enable available security features (such as MFA), and notify us immediately if you suspect unauthorized access.
Adding and removing users
You can add user licenses at any time from within ProdSys. Removed users are immediately deactivated. Pro-rated billing applies for users added or removed during a billing period.
You control your data
As the Customer, you are the data controller for any personal data you upload to ProdSys. We act as data processor on your behalf. See our GDPR page for details.

4. Fees & payment

Pricing structure
ProdSys is priced as a monthly company license plus a monthly per-user license. Current pricing is published at prodsys.com/pricing. Prices are exclusive of VAT and other applicable taxes.
Billing cycle
Invoices are issued monthly in advance based on the number of active users at the start of the period. Implementation fees are invoiced separately according to the project schedule.
Payment terms
Net 14 days from invoice date unless otherwise agreed in writing. Late payments may incur interest at the statutory rate. Persistent non-payment may result in service suspension after written notice.
Price changes
We may adjust pricing with at least 60 days written notice. If you do not accept the new pricing, you may terminate before it takes effect without further obligation.
Refunds
Monthly fees are non-refundable for partial months. Implementation fees are non-refundable once delivered. Refunds may be granted at our discretion in exceptional circumstances.

5. Term & termination

Contract term
The agreement starts when you accept these terms or sign an MSA, whichever is later, and continues month-to-month unless otherwise agreed.
Termination by you
You may terminate at any time with one month written notice. No early termination fees apply. We do not lock you in.
Termination by us
We may terminate with 60 days written notice without cause, or immediately for material breach (e.g. non-payment, violation of acceptable use). We will not terminate solely to extract more money.
What happens after termination
You can export all your data in standard formats (CSV, JSON, Excel) before the contract ends. After a 30-day grace period, we permanently delete your data from active systems. Encrypted backups are cryptographically erased within 90 days.

6. Acceptable use

You agree not to use ProdSys to:

  • Violate any law, regulation, or third-party rights
  • Attempt to gain unauthorized access to systems or data
  • Interfere with or disrupt the service or its infrastructure
  • Reverse engineer, decompile, or copy the software
  • Use ProdSys to send spam or unsolicited communications
  • Upload malicious code, viruses, or harmful content
  • Resell or rebrand ProdSys without a written partner agreement

We may suspend access immediately if your use poses an imminent risk to the service or other customers. We will notify you and work to resolve the issue.

7. Your data

You own your data
All data you upload to ProdSys remains your property. We do not claim ownership of your business data, files, or content.
License to operate the service
You grant us a limited license to host, process, store, transmit, and back up your data only as needed to provide the service to you. We do not use your data for any other purpose.
Aggregated usage data
We may use aggregated, anonymized data about how ProdSys is used (e.g. which modules are popular, what performance patterns occur) to improve the product. This data cannot identify you or your customers.
Personal data
If your data includes personal data, our roles, obligations, and your rights are governed by our Data Processing Agreement, which forms part of these terms.

8. Service levels

Measured monthly, excluding scheduled maintenance.

Recovery time objective for major incidents.
Automated
Monitoring
Continuous automated monitoring with on-call coverage for critical incidents.

Scheduled maintenance is announced in advance and performed during off-peak hours. Real-time status is available at status.prodsys.com.

Detailed service level commitments, credits for unmet targets, and exclusions are specified in the MSA.

9. Intellectual property

Our IP: ProdSys (including the software, the platform, documentation, designs, and "ProdSys" trademark) is and remains our property. Your subscription grants you the right to use it during the term — nothing more.

Your IP: Your business data, content, branding, and configurations remain your property.

Feedback: If you suggest improvements or send us feedback, we may use it without restriction or compensation. We will not use your name or attribute the feedback to you without your permission.

10. Warranties & disclaimers

What we warrant: The service will perform substantially as described in the documentation. We will use reasonable skill and care. We will comply with applicable laws.

What we do not warrant: The service is provided "as is" beyond the above. We do not guarantee that ProdSys will be error-free, uninterrupted, or meet every specific business need you may have.

To the maximum extent permitted by law, we disclaim all implied warranties not expressly granted here.

11. Liability

Cap on liability
Our total liability under this agreement is capped at the fees you paid to us in the 12 months preceding the claim. This cap does not apply to liability that cannot be limited under applicable law (e.g. fraud, gross negligence, intentional misconduct).
Excluded damages
Neither party is liable for indirect, incidental, consequential, or punitive damages — including lost profits, lost revenue, lost data (where backups are reasonably maintained), or business interruption — except where prohibited by law.
Indemnification
We will defend you against third-party claims that ProdSys infringes their IP rights, provided you notify us promptly and let us control the defense. You will defend us against claims arising from your data or your use of the service in violation of these terms.

12. Changes to the service & these terms

Service changes: We continuously improve ProdSys. New features are added at no extra cost. We may also retire features that are deprecated — we will give at least 90 days notice for any feature retirement that materially affects your usage.

Changes to these terms: We may update these terms from time to time. Material changes will be notified to customers by email at least 30 days in advance. If you do not accept the changes, you may terminate before they take effect.

13. Governing law & disputes

This agreement is governed by Norwegian law, without regard to its conflict of law provisions.

We will try to resolve any disagreement amicably first. If that is not possible, disputes are subject to the exclusive jurisdiction of Norwegian courts, with Trondheim District Court as the venue of first instance.

Consumer protection rights under your local law are not affected by this clause.

14. Miscellaneous

Entire agreement: These terms together with the MSA and DPA form the entire agreement between the parties about ProdSys. They supersede any prior agreements on the same subject.

Severability: If any provision is found unenforceable, the rest remains in effect.

No waiver: Failure to enforce any provision does not waive the right to enforce it later.

Assignment: You may not assign this agreement without our written consent. We may assign to an affiliate or in connection with a merger or sale of the business.

Force majeure: Neither party is liable for failure to perform due to events beyond reasonable control (natural disasters, war, government action, internet outages, etc.).
